Introduction and Descriptions

Welcome to Communiqeh Language Training Canada ("Communiqeh", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of our services and our website, so please read them carefully. By accessing or using any part of our website or services, you agree to be bound by these Terms.
For clarity, throughout these Terms, we use the following definitions:

"We", "us", or "our" refers to Communiqeh Language Training Canada, the provider of the services described herein.

"You", "your", or "the client/user" refers to any individual or entity who uses our website, purchases or registers for services, or interacts with our platform in any capacity.

"Services" or "items" include, and may be used interchangeably to describe, all offerings provided by Communiqeh, including but not limited to: individual classes, group classes, class packages, workshops, coaching sessions, self-paced lessons, and any related programs or events.

"The website" refers to www.communiqeh.ca, as well as all associated pages, content, and subdomains linked to that domain.

"Agents of Communiqeh" includes all owners, instructors, subcontractors, facilitators, consultants, employees, representatives, and affiliated parties acting on behalf of Communiqeh.

"Community Members" or "Members" refers to the paying members of our online community.

"Minors" refers to any individual under the age of 18 years as per law in the province of Ontario.
By using our services, you acknowledge and agree to the definitions and conditions outlined in these Terms. If you do not agree, please do not use our services or website.
1. Binding of Terms
The website is owned and operated by Communiqeh Language Training Canada.
Services offered for purchase on the website are offered by owners of Communiqeh Language Training Canada or its subcontractors, agents, or affiliates.

The community rules explained in our online community are included in these Terms and we encourage community members to familiarize themselves with both the online community rules and these Terms.
These Terms set forth the terms and conditions under which you may use our website and services as offered by us.

By accessing or using our website or purchasing and using our services (including but not limited to our membership program), you approve that you have read, understood, and agree to be bound by these Terms.
2. Language, Translation, and Client Responsibility
While Communiqeh strives to provide clear and accessible communication, including in multiple languages where possible, our official Terms of Service, Privacy Policy, community rules, other policies and communications are written in English. Any translations provided—whether by us, our instructors, or third-party tools—are for convenience only.

We make no guarantees regarding the accuracy or completeness of any translated materials. In the event of a discrepancy between the English version and a translated version, the English version shall prevail.

It is the sole responsibility of the client to ensure they fully understand these Terms and any other communications related to our services. If you have questions or do not understand any part of these Terms or our communications, we strongly encourage you to seek clarification from us before using our services.

Communiqeh is not liable for any misunderstandings, misinterpretations, or consequences arising from translation errors or language-related confusion.
3. Requirements for Website, Service, and Membership Program Use
In order to use our website and/or receive our services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement.
Individuals under the age of 18 must have the permission of their parent or guardian before engaging with our services. Please see Section 4 for details regarding minors.
You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you.
4. Minors: Age Requirements, Consent, and Liability
Communiqeh offers certain services that may be suitable for minors under the age of 18. Participation is subject to the following conditions:

Minors aged 15 to 17 may independently access and participate in services offered by Communiqeh, including registering for and attending classes, provided they have obtained the express consent of a parent or legal guardian.

In order to engage in our online community, members must be aged 18 or older.

Minors under the age of 15 are not permitted to access or participate in services without the active involvement and supervision of a parent or legal guardian.

All purchases, account management, and communications involving minors under 15 must be completed by the parent or legal guardian.
By accessing our services, minors represent and warrant that they have obtained parental or guardian consent. Communiqeh does not have the capacity to verify the age or consent status of users and therefore assumes no responsibility or liability if a minor misrepresents their age or accesses services without appropriate consent.
Parents or legal guardians remain fully responsible for all actions, purchases, and participation by any minor who uses our services. Communiqeh is not obligated to provide refunds for purchases made by minors, including where parental consent was not properly obtained or the minor misrepresented their age or authority to make the purchase. Any refund issued in such cases will be at the sole discretion of Communiqeh, and only if no portion of the services have been used.
Communiqeh, its subcontractors, instructors, employees, affiliates, and community members shall not be held liable for any unauthorized actions, use, charges, or experiences resulting from a minor's unauthorized access to or participation in our services.
5. Use of Website
Communiqeh uses Wix to host all of our online sites and activities. When you visit our website, purchase, manage, or partake in any service offered by Communiqeh, you also agree to Wix’s Terms of Use .
6. Key Commercial Terms
When making a purchase from our website, you agree that:

you are responsible for reading the full item or service listing before making a commitment to buy it

you enter into a legally binding contract to purchase an item or service when you commit to buy an item or service and you complete the check-out payment process.
The prices we charge for using our services are listed on the website. We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur. Additional information about pricing, online processing fees, and sales tax is available in the service descriptions or on the payments page.
7. Class Schedule Management
7.1 Cancellations and Rescheduling
Classes may be canceled or rescheduled through the online calendar system a minimum of 48 hours in advance of your class start time. You cannot make changes to a class that is scheduled to begin in less than 48 hours.

You are responsible for managing your class schedules and it is your responsibility to reschedule or cancel a class within the 48-hour time period.
To manage your classes, go to www.communiqeh.ca and login and manage your classes.

If you experience technical difficulties with managing or accessing your classes through the online scheduling site please email our Client Coordinator.
7.2 Private Class Times
Classes are scheduled for specific times and both you and your teacher are expected to arrive in class in a timely manner. If you do not arrive for class within the mandatory teacher waiting time, your teacher is at liberty to close the video call and your class will be considered completed. Classes completed in this way will not be rescheduled or reimbursed.

Mandatory Teacher Waiting Times:

30 minute class: 10 minutes

1 hour or longer class: 15 minutes*

*Please note: If you schedule 1-hour classes and either of the following conditions occur on at least two (2) occasions, for future classes your teacher will be required to wait only 10 minutes before closing the video meeting.

You do not notify your teacher that you will be late
-
You do not enter the class video link within 15 minutes of the start of class ​
If you will be late for a class or if there is a technical issue with your video link, you are responsible for communicating any delays or issues to your teacher. In such events, please contact your teacher immediately through your teacher’s email address found on the class scheduling site. Alternatively, you can contact our Client Coordinator.

7.3 Online Membership Community Group Classes and Live Events
Online group classes and live events offered to members in our online membership community are scheduled for specific times and have a limited number of spots available. If you reserve a spot in a group class or live event you understand that you are expected attend and to arrive at the start time of the group class or live event.

If you need to cancel your reservation in an online group class or live event you need to do so at least 72 hours before the group class or live event is scheduled to begin. Failure to cancel within the cancellation time period will result in a "failure to arrive" penalty. If you receive two (2) or more "failure to arrive" penalties, you will be prevented from reserving space in future group classes or events for 30 days.

Communiqeh Language Training Canada will not refund any membership fees if you are prevented from attending group classes or live events due to "failure to show" penalties.
​
You are responsible managing your reservations and cancelations. If you are unsure of how to cancel your reserved spot in an online group class or live event, please contact our Client Coordinator.
8. Expiration and Refunds
8.1 Class and Package Expiration
Regular classes and regular class packages are valid for 12 months from the date of purchase. Classes purchased individually or in packages that are not used within 12 months from the date of purchase will no longer be available. Validity dates may differ for specific packages (e.g. promotional packages). Communiqeh will not be held responsible for classes that are not used by the expiration date and therefore lost. We encourage clients to check the validity dates of the packages they purchased and to use their classes before the expiration date.
8.2 Retroactive Expiration of Classes and Packages
We reserve the right to change the expiration dates on classes and packages that were purchased in the past. If we retroactively change the expiration date of a class or package, we will:

Inform you by email of the change in expiration date

Provide you with 90 days notice to use the class or classes in a package
8.3 Refund Policy
Classes and packages are non-refundable. You are at liberty to request an alternative teacher at any time. In situations where your designated teacher is no longer available, we may need to assign you to a different teacher. In any cases where a teacher must change, we will always strive to find the best teacher to meet your learning objectives.

Monthly online membership subscriptions can be canceled before the subscription renews for the next month. Once the next month begins, the subscription is not-refundable. Annual membership subscriptions are refundable up to thirty (30) days after purchase. After thirty (30) days, annual subscriptions are non-refundable.

You are responsible for managing your subscription and ensuring you cancel before the subscription auto-renews. If you are unsure of how to cancel your subscription, please contact our Client Coordinator.
9. Health and Safety
9.1 Code of Conduct and Misconduct Policy
At Communiqeh, we are committed to fostering a respectful, inclusive, and safe learning environment for all participants, instructors, and staff. By using our services, you agree to engage in a manner that is professional, courteous, and respectful at all times.

We strictly prohibit any of the following conduct:

Discrimination or hateful speech based on race, ethnicity, national origin, gender, gender identity, sexual orientation, religion, age, disability, or any other protected status

Harassment of any kind, including but not limited to verbal abuse, intimidation, bullying, or sexual harassment
-
Inappropriate, offensive, or disruptive behavior during classes, events, or communications with our instructors, clients, or staff
-
Illegal or unethical activity, including fraud, impersonation, or the unauthorized sharing or misuse of learning materials
-
Any action that undermines the safety, dignity, or participation of others in the learning environment
Violation of this policy will result in immediate suspension or termination of your account at our sole discretion. In such cases, our Termination and Refund Policy for Client Misconduct (Section 10.1) will apply, and no refund will be issued for used or remaining services, except as specifically stated therein for future unused subscription months.
We reserve the right to investigate complaints, take appropriate action, and report unlawful behavior to the appropriate authorities when necessary.
9.2 Duty to Report and Client Safety
At Communiqeh, the safety and well-being of our clients, instructors, subcontractors, and staff is of paramount importance. While we are not a crisis or mental health service, we reserve the right to take appropriate action if we become aware of any situation that, in our sole discretion, raises serious concern for the health, safety, or welfare of a client or any other person.
This includes, but is not limited to, credible disclosures or indications of:

Intent to self-harm or commit suicide
-
Threats or intentions to harm others
-
Domestic abuse or violence
-
Other behavior that poses a serious risk to safety or well-being
In such circumstances, we may, without prior notice and in good faith, share relevant personal information with qualified professionals, mental health services, emergency responders, or law enforcement as we deem necessary and appropriate under the circumstances.
By using our services, you consent to our right to take such action and release Communiqeh, its owners, subcontractors, agents, and affiliates from any and all liability resulting from such disclosure or actions taken to protect individuals from harm.
We do not assume ongoing responsibility for crisis intervention or mental health support, and we encourage individuals experiencing a crisis to contact their local crisis line or emergency services immediately.
9.3 No Driving Policy
For the safety of our clients and in accordance with local traffic laws, we have a strict “no driving during class” policy.
You are welcome to take the class in your car if necessary, but your car must be parked.
10. ​Right to Suspend or Cancel User Account
We reserve the right to suspend or terminate your access to our services at any time, with or without notice, if, in our sole discretion, you violate these Terms, any online community rules, or any applicable laws or regulations, or if your conduct is abusive, harassing, or otherwise harmful to instructors, staff, or other participants.
10.1 Termination and Refund Policy for Client Misconduct
In the event of termination due to client misconduct or breach of these Terms:

No refunds will be issued for used or unused individual classes, class packages, workshops, memberships, or events.

For prepaid subscription-based memberships, you will not be refunded for any unused classes or membership subscriptions.

We are not liable for any resulting loss or inconvenience resulting from such termination.
You may cancel your account or subscription at any time; however, refunds will be provided only in accordance with our standard cancellation and refund policies.
10.2 Intellectual property, copyrights and logos
All content, materials, and assets provided by or through Communiqeh, including but not limited to the company name “Communiqeh” (trademark pending in Canada), logos, graphics, branding elements, course content, lesson plans, worksheets, online activities, audio and video recordings, downloadable materials, and digital content (collectively, the “Materials”), are the sole property of Communiqeh Language Training Canada and are protected by applicable copyright, trademark, and intellectual property laws.
Except where expressly authorized in writing, you may not copy, record, reproduce, modify, publish, transmit, distribute, display, sell, license, or otherwise use or exploit any part of the Materials for commercial or non-commercial purposes.

You may use the Materials solely for your personal, non-commercial learning purposes in connection with services provided by Communiqeh. Any unauthorized use, reproduction, or redistribution of the Materials is strictly prohibited and may result in legal action.
Nothing in these Terms shall be interpreted as granting any license or right to use any of our trademarks, copyrighted materials, or proprietary content without our prior written consent.
11. Promotional Emails and Content
You agree to receive from time to time promotional messages and materials from us, by mail, email or any other contact form you may provide us with (including your phone number for calls or text messages). If you don't want to receive such promotional materials or notices – please update the settings in your member account or notify us at any time.

12. Video and Audio Recording
12.1 Video and Audio Recording by Communiqeh
Group classes and live events available through our online membership program will be recorded by Communiqeh and shared in the community for learning purposes. By attending group classes and live events, you give your permission to be recorded. If a recording contains personal or sensitive information, that information will be edited out before sharing in the community.

Private, 1:1 classes would only be recorded for the learning goals of the student (e.g. playback, review, AI summaries) and only with explicit consent of the student.
​
If Communiqeh wishes to use a recording that contains members for marketing or promotional purposes, we will always obtain the written permission of members before doing do. We will never post publicly outside of Communiqeh's online community without your consent.

12.2 Zero-Recording Policy - Video and Audio Recording by Students and Online Community Members
Although the Province of Ontario operates under a one-party consent rule for the recording of audio and video communications, Communiqeh Language Training Canada maintains a strict policy prohibiting all participants, students, and online community members from recording any part of a group or individual class, session or event.
Individual community members, participants, and students are strictly prohibited from audio or video recording any private or group classes or live events. If a student in a private class wants their class to be recorded, they are free to ask their teacher to do so and the teacher will manage the recording.

This policy exists to protect the privacy, safety, and trust of all members of our learning community.
13. Privacy Policy
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect your personal information.
By agreeing to these Terms of Service, you acknowledge that you have read, understood, and agreed to the terms of our Privacy Policy. If you do not agree with our Privacy Policy, you must not use our services.
We encourage all clients to review the Privacy Policy regularly, as it may be updated from time to time in accordance with applicable privacy laws.
14. Indemnification
You agree to indemnify and hold Communiqeh Language Training Canada harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.

You agree to indemnify and hold Communiqeh Language Training Canada harmless from any actions, behaviours, words, or opinions made or shared by its online community members that you may experience due to, or arising out of, or in connection with your use of and/or engagement in its online community.
15. Limitation of Liability
​To the maximum extent permitted by applicable law, Communiqeh Language Training Canada and its owners, subcontractors, service providers, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses, arising out of or in connection with the use of or inability to use our services, even if we have been advised of the possibility of such damages.
Our total cumulative liability, whether in contract, tort (including negligence), or otherwise, for any claim related to or arising out of your use of the services shall not exceed the total amount paid by you to Communiqeh for the services giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.
Our services, including our online community, live classes, events, workshops, and self-paced learning content, are provided "as is" and "as available" without warranties or conditions of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific learning outcomes or results from participation in our programs.
This limitation applies to all causes of action in the aggregate, including but not limited to breach of contract, breach of warranty, negligence, strict liability, misrepresentations, the actions of community members, the actions of third parties, the actions of third party providers or other torts.
16. Right to Change Offerings
We may, without prior notice, change the services; stop providing the services or any features of the services we offer; or create limits for the services. We may permanently or temporarily terminate or suspend access to the services without notice and liability for any reason, or for no reason.
17. Governing Law and Jurisdiction
These Terms of Service, the rights and remedies provided hereunder, and any and all claims or disputes related to the services provided by Communiqeh shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any such claims or disputes shall be brought exclusively before the courts located in the Niagara Region, Ontario, and you irrevocably consent to the jurisdiction of such courts.
The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
18. Right to Update Terms of Service
We reserve the right to update these Terms of Service at any time. If our Terms of Service are updated, we will inform you by email.
